NATHAN GREENE is a partner in the Investment Funds practice. He has extensive experience advising on the regulatory aspects of fund and investment advisory operations, and also counsels funds and financial institutions on regulatory considerations around emerging technologies like blockchain, big data and artificial intelligence. His practice includes the formation and representation of U.S. and foreign investment companies, sponsors, advisers and directors, including SEC registration, exemptions, inspections and investigations; fund formation, distribution and marketing; fund board and governance matters; compliance manuals and testing; and high-profile corporate transactions involving asset management businesses. He is particularly well-known for his representation of prominent industry participants in the registered alternatives market and has notable experience representing major players in M&A deals that have a registered fund component.
Nathan has lectured on funds regulation at prominent New York-area law schools. He is regularly quoted in prominent publications and news services, including BoardIQ, Bloomberg, Fund Board Views, Hedge Fund Law Report, Reuters and The Wall Street Journal. Nathan is in demand as a speaker, including on issues relating to big data, blockchain and artificial intelligence.
Nathan has been recognized by Chambers USA in Investment Funds: Registered Funds (2017–2018). Nathan’s experience includes representing:
- The independent trustees of the registered funds business of one of the world’s leading investment firms, including in relation to the launch, structuring and ongoing oversight of the private equity giant’s first daily-valued alternative funds.
- Citigroup, Inc. in the sale of the asset management business of its Mexican banking subsidiary, Citibanamex, to BlackRock Inc.
- A U.S. investment management company, as their dedicated fund counsel, including in connection with their shareholder vote process (which included a regulated proxy campaign) in the sale of their investment adviser to a private equity consortium.
- General Electric Co. in connection with its sale of GE Asset Management to State Street Global Advisors, the world’s third-largest asset manager.
- Ironwood’s SEC-registered funds of hedge funds, including negotiating distribution agreements with major underwriting firms and advisory platforms and advising on its billion-dollar share registrations.
- Perella Weinberg Partners in negotiation and structuring of investment management and related contracts associated with its registered funds business.
- Mizuho Financial Group in its purchase of a 16% interest in Matthews International Capital Management, a boutique fund manager in the United States specializing in registered fund products with an Asian investment focus.
- Major investment banks and both non-U.S. and U.S. issuers in analyzing and structuring their ability to obtain exceptions and exemptions under the U.S. Investment Company Act of 1940 for purposes of facilitating securities issuances within the United States.
