Charles Hawes

Charles Hawes is a partner based in the London office of Simmons & Simmons.  Charles joined Simmons & Simmons in 2003 and has led their US securities practice in London since 2004.  He is admitted to the bar of the State of New York and is qualified as a solicitor in England and Wales.

Charles’s practice focuses on international capital markets transactions and US securities law matters. He has represented many issuers and investment banks in connection with debt and equity issuances and has extensive experience advising non-US issuers on securities offerings and private placements into the United States and on compliance with US securities laws generally.

Charles’s debt capital markets experience includes advising: Marlin Financial Group on its issue of high yield senior secured bonds; Abu Dhabi National Energy Company (TAQA) on its debut international capital markets issue, the then largest international bond offering by a Middle Eastern company; BP Capital Markets on the first ever London listed renminbi issue by a multinational corporate; Thomas Cook Group on its debut bond issue; and issuers and underwriters on numerous debt and structured debt issuance programs.

His equity capital markets experience includes advising the underwriters on the recent rights issues by: Laird; RPC Group, in connection with its acquisition of Letica Group; Chemring Group; and Kier Group, in connection with its acquisition of Mouchel.  He also advised the underwriters on the placing and open offers by 3i Infrastructure; JUST EAT, in connection with its acquisition of Menulog; and The UNITE Group.  His IPO experience includes advising Funding Circle and Funding Circle SME Income Fund on the Fund’s London-listed IPO; Gottex Fund Management on its IPO listed in Switzerland; Vocento on its IPO listed in Spain; and the UK Ministry of Defence as selling shareholder on the IPO of QinetiQ.
